PUBLIC OFFER

for the Conclusion of a Vehicle Rental Agreement Without a Driver (Bare Rental Agreement)

1. General Provisions

1.1. This document constitutes an official offer (Public Offer) made by Ural Car Rental LLC (hereinafter referred to as the Lessor) to enter into a vehicle rental agreement without a driver (bare rental agreement) with any legally competent individual or legal entity under the terms and conditions set forth herein.

1.2. This Public Offer is drafted in accordance with the Civil Code of the Russian Federation and constitutes a public offer within the meaning of Article 437 of the Civil Code of the Russian Federation.

1.3. Acceptance of this Public Offer shall be deemed to occur when the Lessee performs any action indicating an intention to conclude a rental agreement, including, but not limited to:

  • submitting a booking through the Lessor’s website;

  • making a reservation through the Lessor’s contact center;

  • making a reservation at the Lessor’s office;

  • making full or partial payment;

  • signing documents electronically or in paper form;

  • taking possession of the vehicle.

Upon acceptance of this Public Offer, a vehicle rental agreement without a driver shall be deemed concluded between the Parties.

2. Subject Matter of the Agreement

2.1. The Lessor agrees to provide the Lessee with a vehicle for temporary possession and use without a driver for the agreed rental period, and the Lessee agrees to accept the vehicle, comply with the rental conditions, pay the applicable rental charges, and return the vehicle in the agreed condition and within the agreed time.

2.2. The specific rental terms shall be determined during the booking process and specified in the Rental Agreement, booking confirmation, order confirmation, or any other document issued by the Lessor.

2.3. This Public Offer shall be applied together with the following documents published on the official website of the Lessor:

  • General Rental Terms;

  • Privacy Policy;

  • Consent to Personal Data Processing;

  • any other documents expressly referenced during the booking process.

The above documents form an integral part of this Public Offer.

3. Procedure for Concluding the Agreement

3.1. Vehicle reservations may be made through the Lessor’s website, mobile services, contact center, or directly at the Lessor’s office.

3.2. When making a reservation, the Lessee shall provide accurate personal information and all documents required for the conclusion of the Rental Agreement.

3.3. The Lessor reserves the right to refuse to conclude a Rental Agreement in cases provided for by the legislation of the Russian Federation and the General Rental Terms.

3.4. The Rental Agreement shall be deemed concluded upon acceptance of this Public Offer and confirmation of the reservation by the Lessor.

4. Rental Charges and Payment Terms

4.1. Rental charges shall be determined according to the Lessor’s rates effective on the date of booking.

4.2. The rental price includes only those services selected by the Lessee during the booking process.

4.3. Additional services shall be provided for an additional fee in accordance with the Lessor’s current price list.

4.4. To secure the Lessee’s obligations under the Rental Agreement, the Lessor may require payment of a Security Deposit or perform a pre-authorization (card hold) on the Lessee’s bank card in accordance with the General Rental Terms.

4.5. The Security Deposit shall be refunded upon completion of the rental period, provided there are no grounds for full or partial retention of the funds. The refund period depends on the method by which the Security Deposit was provided. Cash deposits shall be refunded no later than twenty (20) calendar days after the end of the rental period. Deposits secured by a pre-authorization (card hold) shall be released in accordance with the procedures of the issuing bank and generally within thirty (30) calendar days from the date on which the Lessor submits the release request. The actual release period is determined by the issuing bank and the applicable payment system.

5. Rights and Obligations of the Parties

5.1. The Lessor shall provide the Lessee with a roadworthy vehicle that complies with the booking conditions.

5.2. The Lessee agrees to:

  • comply with the legislation of the Russian Federation;

  • operate the vehicle in accordance with the Rental Agreement and applicable operating requirements;

  • use the vehicle solely for its intended purpose and in accordance with the Rental Agreement;

  • return the vehicle on time;

  • immediately notify the Lessor of any traffic accident, damage, malfunction, or any other circumstance affecting the performance of the Rental Agreement.

5.3. The complete list of the Parties’ rights and obligations is set forth in the General Rental Terms.

6. Electronic Communications

6.1. The Parties acknowledge the legal validity of electronic documents generated through the Lessor’s website, personal account, email, SMS messages, or any other electronic communication channels used in connection with the rental process.

6.2. Selecting the appropriate checkbox during the booking process, using a simple electronic signature, entering a verification code, or performing any other action that reliably identifies the Lessee shall be deemed equivalent to a handwritten signature in accordance with the legislation of the Russian Federation.

7. Liability of the Parties

7.1. The Parties shall be liable in accordance with the legislation of the Russian Federation, this Public Offer, and the General Rental Terms.

7.2. The scope of liability, procedure for compensation of damages, conditions governing the Security Deposit, limitations of liability, and other related matters shall be governed by the General Rental Terms.

8. Final Provisions

8.1. This Public Offer shall enter into force upon its publication on the Lessor’s official website and shall remain effective until withdrawn or replaced by a new version.

8.2. Any updated version of this Public Offer shall apply only to bookings made after its publication unless otherwise required by the legislation of the Russian Federation.

8.3. Any matters not expressly regulated by this Public Offer shall be governed by the legislation of the Russian Federation and the General Rental Terms.

8.4. By accepting this Public Offer, the Lessee confirms that they have read, understood, and fully accepted this Public Offer, the General Rental Terms, the Privacy Policy, and the Consent to Personal Data Processing.
